Terms and conditions
This English version is provided for information only. The Dutch version is the authoritative text. Algemene voorwaarden
In brief
- A booking is firm after our written confirmation and the 30 % deposit.
- You can cancel at no cost up to 7 days before the session; after that the deposit may stay with us.
- Distance contracts give a consumer a 14-day cooling-off period, with the exceptions below.
- Your works stay yours. Producer rights in the takes pass to you after full payment.
- The Dutch text is authoritative. We are not affiliated with a dispute committee.
1. Scope
These terms apply to every quote, booking and service of Oaklandledger B.V., trading as Oaklandledger, of Bilderdijkstraat 165, 1053 KV Amsterdam. They cover Vocal recording, Band recording, Mixing, Mastering and Podcast & voice-over, and anything we add in writing.
The contract is made up, in this order, of (1) the special terms in the accepted quote, (2) these terms, (3) for business clients who leave us personal data of third parties the data processing agreement, which prevails on that point. The privacy policy is information; it does not change the contract.
Departures count only if we confirm them in writing. We reject your purchasing terms unless we accept them expressly. By accepting a quote you confirm that you could read these terms. We publish them on this page and send them with the quote, as article 6:234 of the Dutch Civil Code requires for general conditions.
2. Definitions
| Term | Meaning |
|---|---|
| Studio / we | Oaklandledger B.V.. |
| You / client | The natural or legal person who accepts a quote. |
| Consumer | A natural person acting outside a trade, business, craft or profession. |
| Business client | Any client acting in the course of a trade or profession, for example a label, production company or agency. |
| Quote | The written proposal with the service, date, duration, price including and excluding VAT, deposit and any special terms. |
| Session | The reserved block in the studio, with an engineer at the desk. |
| Deposit | The part of the price you pay when you reserve, equal to 30 % of the gross amount. |
| Working day | Tuesday to Friday, except public holidays in the Netherlands. |
| Recording | The sound fixation made during a session, including session files. |
3. Who you contract with
You contract with Oaklandledger B.V., private limited company (B.V.), Chamber of Commerce 86221245, VAT NL832148039B01, Bilderdijkstraat 165, 1053 KV Amsterdam. Director: Sanne de Vries. Telephone 020 261 4890, e-mail [email protected].
We do not book a session for anyone under 16 as the contracting client. Younger visitors come with a parent or guardian; that adult is the contracting party and stays for the session. From 16 you may book yourself; until you reach majority we may ask a legal representative to sign if the nature or price of the job makes that reasonable (article 1:234 of the Dutch Civil Code).
4. Quote and formation
A question through the contact form, e-mail or telephone is an invitation to talk, not an offer. We send a written quote within 1 working day. How long it stays open is stated on the quote itself. The slot is yours only after two things: your clear acceptance (a signature or an e-mail saying you agree) and receipt of the deposit. Until then the slot can go to someone else.
For a distance contract we confirm the booking by e-mail, with the essential information required by article 6:230m of the Dutch Civil Code. We may refuse a request for a legitimate reason, for example a project that does not fit the room (at most 5 players in the live room), the 96 kHz sample rate, or the safety rules of the space.
The form is handled by FormSubmit in the United States; you can avoid that transfer by writing straight to [email protected], as the legal notice explains.
5. What we supply
Each service is described on its own page: Vocal recording, Band recording, Mixing, Mastering and Podcast & voice-over. Practical preparation is in the guides, including vocal warm-up, band budget, delivering stems and loudness for streaming.
Unless the quote says otherwise, a studio session includes: use of the reserved room, the microphones on site and 16 microphone preamps, an engineer, and a rough export at the end of the day. Not included unless listed: players, arranging, mastering on a tracking day, extra revisions beyond article 13, lodging, catering, or rights clearances with collective-management organisations.
We owe a duty of careful work, not a guaranteed artistic result. We do not promise chart places, stream counts or a particular «radio-ready» sound. That outcome also depends on your preparation, takes and choices.
6. Prices and VAT
Amounts on the site are in euros, including VAT at 21 %, as the Dutch Turnover Tax Act 1968 requires for consumer prices. The price that counts is the one on the accepted quote. Site prices may change until you accept.
Published guide prices (including VAT):
- Vocal recording: €95 per hour, €320 for 4 hours, €580 for 8 hours (net €78.51, €264.46, €479.34)
- Band recording: €125 per hour, €440 for 4 hours, €790 for 8 hours (net €103.31, €363.64, €652.89)
- Mixing: €195 per track, €760 for an EP of up to 5 tracks (net €161.16, €628.10)
- Mastering: €70 per track, €265 for an EP of up to 5 tracks (net €57.85, €219.01)
- Podcast & voice-over: €88 per hour, €210 per episode of up to 90 minutes (net €72.73, €173.55)
Time beyond the booked block is charged only if you ask for it, per half hour started, at that service’s hourly rate. Options that are not on the quote are billed only after your written request. Unused minutes from a booked block can be used within 48 hours on a free slot, if the room is available; otherwise they lapse without a refund of that part, unless we caused the shortfall.
7. Deposit and payment
When you reserve you pay 30 % of the gross price. That is a deposit: it is set off against the final invoice. It is not a bond that comes back automatically, and it is not a penalty in itself. What happens if you cancel is in article 8 and does not cut down the withdrawal right in article 9.
Payment is by bank transfer. A consumer pays the balance on the session day, before taking the files, or — for remote work (Mixing, Mastering) — on delivery of the agreed final version. A business client pays within 14 days of the invoice date.
If a business client pays late, the statutory commercial interest of article 6:119a of the Dutch Civil Code and the extrajudicial collection costs under the Dutch decree on those costs become due without a further notice of default. A consumer first receives a reminder with at least 14 extra days; after that, statutory interest (article 6:119 of the Civil Code) and the statutory collection scale may follow.
While an invoice is unpaid we may hold the final files. Working sessions stay archived as article 12 says. Set-off by a business client is excluded, except for due counterclaims we have acknowledged or that are finally awarded.
8. Rescheduling and cancellation by you
| When | Effect |
|---|---|
| More than 7 days before the session | Move or cancel at no charge. If you cancel we return the deposit within 14 days. |
| 7 days or fewer, or you do not attend | We may keep the deposit as a reasonable charge for the reserved slot, unless you show that our actual loss is lower. A consumer may ask the court to reduce the amount (article 6:94 of the Civil Code). Force majeure on your side is handled as in article 16. |
Move or cancel by e-mail to [email protected] or by phone, then confirm in writing. Arriving late on the day shortens the session; we cannot run over if the next block is taken. These rules do not limit a consumer’s right of withdrawal.
9. Right of withdrawal
If you are a consumer and you conclude the contract at a distance (form, e-mail, telephone) or off-premises, you have 14 days to withdraw, without giving a reason (article 6:230o of the Dutch Civil Code). Time runs from the day the contract is formed. The right does not apply to a contract you sign at the studio itself.
If you want the session or the mix to start during those 14 days, you must ask for that expressly. If you then withdraw, you pay a proportionate amount up to the moment of withdrawal (article 6:230s of the Civil Code). If the service has been fully performed within the period, after your express consent and after your statement that you lose the withdrawal right, you can no longer withdraw (article 6:230p opening words and (a) of the Civil Code). The same applies to work made to your specifications or clearly personalised (article 6:230p opening words and (f)), for example a mix or master already finished to your notes.
Withdraw with an unambiguous statement to [email protected] or to Bilderdijkstraat 165, 1053 KV Amsterdam, for example with the model below. We refund within 14 days of receiving your decision, by the same means of payment, unless we agree otherwise.
Model withdrawal form (annex to Directive 2011/83/EU)
To Oaklandledger B.V., Bilderdijkstraat 165, 1053 KV Amsterdam, [email protected]:
I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract for the supply of the following service:
- Ordered on (*):
- Name of consumer(s):
- Address of consumer(s):
- Signature of consumer(s) (only if this form is notified on paper):
- Date:
(*) Delete as appropriate.
10. Cancellation or change by us
If we have to cancel a session (a failure in the chain, illness of the engineer, an unsafe building), we tell you as soon as we can and offer a new date. If that date does not work, we return everything you have already paid within 14 days. We do not swap the agreed engineer without your consent.
A short shift of the start time because the previous session overran is not a breach if we make up the lost minutes the same day or within 48 hours.
11. In the studio
Hours: Tuesday–Friday 10:00–20:00, Saturday 10:00–18:00. Closed Monday and Sunday. By appointment only. The live room is meant for at most 5 players at once. We record at up to 96 kHz.
You treat rooms and gear with care and follow the engineer’s directions. Smoking and vaping in the building are not allowed. We may stop a session if people or equipment are at risk; the reserved block then remains payable, unless we caused the risk. Damage to studio gear through your fault or neglect is on you. What you bring (instruments, laptops, cases) stays in your care; travel or instrument cover is wise, not a duty we impose.
For your hearing we work at moderate monitor levels, take breaks and keep earplugs on site. More about the day itself is in the FAQ.
12. Files, delivery and archive
Unless the quote says otherwise, we deliver WAV 24-bit, via a download link or on a drive you bring. Deadlines for Mixing and Mastering run from the moment we have complete, playable stems; they are counted in working days. What «complete» means is in the stems guide.
We keep a copy of the sessions for 12 months after the last working day on the project, then we delete it. You can collect your files during that period. Longer storage can be agreed in writing, for a fee we will state. After deletion we cannot retrieve anything. You remain responsible for your own backup from the moment of delivery.
13. Revisions
Mixing and Mastering include 2 revision rounds, as the service pages describe. One round is one bundled list of notes that we handle in a single pass. Extra rounds, or a new artistic direction after you signed off a version, go through a new quote.
Tracking days have no «revision» in that sense: a new take is new session time. What you do not finish that day you book again, or you use leftover time within 48 hours as article 6 says.
14. Intellectual property
Your works. Compositions, lyrics, samples and covers you bring remain yours or the rightsholders’. You warrant that you have the permissions you need and that you make any filings with collective-management organisations. The studio claims no copyright in your works.
The fixation. The person who initiates and pays for the first fixation is usually the producer under the Dutch Neighbouring Rights Act. That is you when you commission and fund the session. To the extent Oaklandledger B.V. could still claim rights in that fixation, the company assigns them once the invoice is paid in full.
Performers. You obtain the consent of singers, rappers, players and speakers for fixation and exploitation. That includes podcast guests. The studio supplies the technical work and acquires no exploitation right in the performance.
Voice and AI. We do not use your recordings to train, test or improve artificial-intelligence systems, and we do not make a voice clone unless that person has given a separate written go-ahead.
References. We do not name you or your title as a reference without your written agreement.
15. Liability
We are liable only for an attributable breach, and only for direct loss that was reasonably foreseeable when the contract was formed. This limit does not apply to intent or deliberate recklessness, not to personal injury, and not to rights the law gives a consumer on a mandatory basis. Clauses that unreasonably hinder a consumer’s evidence or exclude statutory guarantees are left unused (articles 6:236 and 6:237 of the Civil Code).
For business clients, and outside intent or deliberate recklessness, our total liability per job is limited to the gross amount of the matching quote. Consequential loss (lost turnover, a missed release, extra studio costs elsewhere, reputation) is excluded, except where mandatory law forbids that.
Report a defect in delivered files (wrong format, a silent or damaged file, a version other than the one agreed) as soon as is reasonable. We repair or re-deliver at no extra charge. A consumer keeps the statutory rights on non-conformity of digital content.
16. Force majeure
Neither party has to perform if a failure follows from a circumstance not attributable to it and that does not fall to it by law, juristic act or generally accepted views (article 6:75 of the Civil Code). Examples include a long power cut, a public-authority order that closes the studio, or illness that leaves no engineer and for which a substitute cannot reasonably be found.
The prevented party reports that as soon as possible. The session is moved to a date chosen together. If the obstacle continues or no date works, either party may end the contract; sums already paid for work not done are returned.
17. Personal data
We process your data under the privacy policy. If you are a business client and you leave us data of third parties (guests, players, voice-over talent), the data processing agreement applies.
The contact form goes through FormSubmit in the United States. You can avoid that via [email protected] or 020 261 4890. We keep your cookie choice for 182 days under okln_consent_v1; you can .
18. Complaints
Send a complaint in writing to [email protected] or to Bilderdijkstraat 165, 1053 KV Amsterdam. We acknowledge receipt within 1 working day and reply on the substance as soon as the nature of the complaint allows.
Oaklandledger B.V. is not affiliated with a recognised dispute committee or any other recognised ADR body. We do not invent such an affiliation. After a written complaint to us, a consumer may ask the subdistrict court or the court of their place of residence or of Amsterdam to decide. Information on buyer rights is available from the consumer desk of the Netherlands Authority for Consumers and Markets. For a cross-border complaint inside the EU you can turn to the European Consumer Centre in the Netherlands. None of those bodies is our contractual mediator.
19. Governing law and court
Dutch law applies to these terms and to the contract. The CISG is excluded.
A consumer may, at their choice, bring proceedings in the court of the place where they lived when the contract was formed, or in any court that has jurisdiction under the Dutch Code of Civil Procedure or EU law. For disputes between Oaklandledger B.V. and a business client the District Court of Amsterdam has jurisdiction, sitting in Amsterdam, without prejudice to our right to sue where the client is established.
20. Changes and closing terms
If a clause is void or voidable, the others stay in force. We then replace it with a valid rule as close as possible to the intended meaning. Not relying on a clause is not a waiver.
We may change these terms. The version in force on the day you accepted the quote remains the one for that job. The current text is on this page; this version takes effect on 1 October 2026, last check 1 October 2026.
These terms exist in Dutch and in English. If they differ, the Dutch text prevails. The English version is a faithful translation for information. Questions: get in touch or read the legal notice and the disclaimer.
